    From July 2 to July 8, 2017, by invitation from Japan-China Friendship Center, Mr. Jun Ji led the key China public welfare activists of “Japan-China International Joint Association for Afforestation”, consisting of young Chinese comrades from economic, education, culture and other industries to visit Japan. During the visit, Mr. Ji and the delegation visited Japanese enterprises, schools, civil institutions and so forth, and had a pleasant in-depth conversation with the person in charge of the enterprise, school teachers and the legal professionals and think tank professionals. They planted a dendrobenthamia tree as a symbol of Japan-China friendship, in Yokkaichi.
  • Mr. Libin Zhang: Implementation of Chinese Energy Transformation shall be Grounded to Legal Support in addition to Conceptual Change
    On June 11, 2017, Mr. Libin Zhang, partner of Broad & Bright, was invited as a guest commentator to attend the academic seminar on “Global Energy Transformation and Chinese Reform on Petroleum Gas Industry” held by Hongfan Institute of Law and Economics. It was a great honor that Mr. Weidong Chen, former Chief Energy Economist of China National Offshore Oil Corporation (CNOOC), was invited to make a keynote speech. Other guest commentators include Mr. Junfeng Li, former chairman and researcher of National Center for Climate Change Strategy Research and International Cooperation, and Mr. Xianliang Zhao, Secretary of the Party Committee and deputy director of Oil Gas Center of Ministry of Land and Resources. The director of Hongfan Institute of Law and Economics, and famous jurist of China, Mr. Zhiping Liang, presided over this academic seminar. Other attendees include experts and scholars from Development Research Center of the State Council, Chinese Academy of Social Science, Ministry of Justice, Peking University and other universities, as well as national petroleum companies such as Sinopec, and representatives from media. Mr. Weidong Chen’s passionate and informative speech enlightened profound thouthts about energy transformation. Mr. Weidong Chen especially mentioned American mode (valuing the market, shale gas reform, technology and financial innovation), European mode (concept first; developing renewable energy sources), and Japanese mode (disaster driving energy transformation, importing LNG instead of relying on coal import) for energy transformation. Mr. Weidong Chen further proposed that China shall exploit its own advantage and explore its own unique energy mode. Indeed, the world is focusing on China’s energy mode to come into being. How to establish Chinese energy mode? This is a question that requires further deliberation.

  • Mr. Hongchuan LIU was invited to attend the Seminar of International Scientific and Technological Cooperation and Foreign Affairs Matters held by the Science and Technology Department of Sinopec
    Invited by the Science and Technology Department of Sinopec, Mr. Hongchuan Liu attended the seminar of International Scientific and Technological Cooperation and Foreign Affairs Matters held by the Science and Technology Department of Sinopec together with Ms. Guanggui Yao and Mr. Chenxu Feng in Wuxi, Jiangsu on June 21 and 22. Attendees of this seminar are leaders and senior engineers of scientific and technological companies and academic institutions affiliated to Sinopec. Mr. Liu gave training on legal issues in foreign technical cooperation.     Following the successful organization of the 1st “Broad & Bright・Toranomon Chuo Cup” Golf Tournament (the tournament in commemoration of Mr. Yifan Chen’s “a hole in one”) at Qizhong Golf Club, we welcome the 2nd “Broad & Bright・Toranomon Chuo Cup” on May 27, 2017.   • Libin Zhang: How Chinese Enterprises Conduct LNG Price Reconsideration Negotiation?
    In the afternoon of May 23, 2017, Broad & Bright (as the co-organizer), Beijing Arbitration Commission and China University of Petroleum (Beijing) China-Australia Natural Gas Technology Partnership Fund Northern Training Center jointly held “China Natural Gas Forum: An International Seminar on LNG Price Reconsideration Negotiation and Dispute Resolution” at the international conference hall of Beijing Arbitration Commission.
    Mr. Zhang Libin, partner of Broad & Bright and the initiator of this meeting, together with Dr. Shouhai Chen, director of China-Australia Fund Training Center, jointly organized this meeting. The expert speakers of this meeting include Ms. Yao Li, the founder and president of SIA Energy, Mr. Anthony Way, the supervisor and executive partner of Energy Contracting Company, Mr. Edward van Geuns, partner of De Brauw Blackstone Westbroek Singapore Office, Ms. Ana Stanič, the founder of E&A Law Firm, Mr. Jingzhou Tao, the executive partner of Asian business of Dechert LLP and Ms. Pu Feng, director of China region of Singapore International Arbitration Center, who respectively introduced issues related to LNG trading practices and dispute resolution.   • Broad & Bright and Wolters Kluwer jointly held the seminar on the analysis of representation and warranty clauses in M&A Agreement.
    On April 25, 2017, Broad & Bright, Wolters Kluwer and Beijing Arbitration Commission jointly held a seminar on the analysis of representation and warranty clauses in M&A Agreement. Mr. Hongchuan Liu, partner of Broad & Bright, analyzed on the common representation and warranty clauses in the M&A Agreement.
    During the seminar, Mr. Hongchuan Liu gave a brief introduction to the meaning, function and basic contents of representation and warranty, and then compared the characteristics of representation and warranty in different transaction structures, and further elaborated on the differences between representation and warranty and other terms of M&A agreement, such as covenants, conditions precedent to closing and indemnification. Meanwhile, Mr. Hongchuan Liu comprehensively compared the representation and warranty in the M&A practice between Britain and the United States, and explained the relationships between representation and warranty and disclosure letter as well as limitation of liability of the seller and major adverse events. Mr. Hongchuan Liu also took intellectual property as an example to illustrate the key points of drafting representation and warranty and discussed on applying Chinese judicial practice to representation and warranty clause based on existing judicial cases. Nearly 100 senior management and corporate counsels from well-known enterprises at home and abroad attended the seminar, including Xiaomi, Digital China, Autonavi Software, China Minmetals, China Railway, Sinosteel, Shougang, Shell, China Electricity, Beiqi Foton Motor and etc. The attendees spoke highly of Mr. Hongchuan Liu’s speech and the seminar ended in a warm atmosphere.

  • Mr. Libin Zhang Interviewed by New York Times
    Mr. Libin Zhang, partner of Broad & Bright, was interviewed by New York Times with respect to a case heard by the Intermediate People’s Court of Altay, Xinjiang. The focus of dispute is a meteorite falling from the sky. This meteorite was found by a herder in Xinjiang when he was grazing on his grassland. This meteorite weighs 17 ton, which is the second heaviest meteorite in China and fourth heaviest meteorite in the world. In 2011, the municipal government of Altay claimed it as natural resource, which shall belong to the state according to the PRC Property Law. The herder who found the meteorite disagreed, and held that the meteorite fell from the sky, thus it shall not be deemed as natural resource. In addition, it is neither movable property nor real estate, and thus the PRC Property Law shall not apply. At present, no judgment has been announced yet.

  • Mr. Hongchuan Liu made a key note speech featuring foreign direct investment in China at the invitation of Israel Export Institute.
    In the morning of April 2, 2017, Mr. Hongchuan Liu, at the invitation of Israel Export Institute, made a key note speech featuring the laws, current status and outstanding issues in relation to foreign direct investment in China at the Israel Export Institute located in the second largest city of Israel, Tel Aviv-Yafo. The attendees of the lecture had a chance to have a heated discussion with respect to the most-concerned issues about the effects of new foreign exchange policy on overseas investments and other matters.

    Meritas held the Asian Regional Conference in Singapore from February 16, 2017 to February 18, 2017. Around 50 law firms from Asian region and European and American region joined this conference.     On December 15, 2016, Broad & Bright and LexisNexis jointly held the seminar on “Coping with Enterprise Layoffs and Labor Disputes Resolution”.   • Broad & Bright Cooperates with LexisNexis to Launch a Special Column of Labor Practice – Everything Has a Cause
    Broad & Bright reached agreement with LexisNexis to collaboratively launch a special column of labor practice – "everything has a cause". This column will be edited in chief by Mr. Yifan CHEN, partner of Broad & Bright, expert in labor law, with an aim to trace the source of specific issues in respect to labor law field, or to explore the “cause” of labor law cases and to find out the source of the issue, so as to take proper preventive measures.   • Broad & Bright Sponsors Stanford Law School China Guiding Cases Project
    Stanford Law School China Guiding Cases Project (the “CGCP”) was started in 2010. The project created a website that provides the English translations of all guiding cases released by the PRC Supreme People’s Court in recent years. These first hand materials enable judges, lawyers and scholars worldwide to understand the development in China’s judicial system. The project has received tremendous support from the legal professionals since its commencement. Broad & Bright is very proud and honored to sponsor this project.
    CGCP aims to “sum up judicial experience, unify judicial application of law, enhance judicial quality, and ensure fairness and justice in litigation”. It hopes to provide guidance on how to choose applicable cases and how to push through the limitations on such applicable cases, and to provide a better guiding case system to relevant authorities and decision makers. The project has collected all the Guiding Cases released by the PRC Supreme People’s Court in recent years in the areas of criminal, civil, corporate, administration, intellectual property rights, unfair competition and so on. For important cases, the project also offered commentaries from experts. Each case commentary is composed of six parts, i.e., Keyword(s), Main Points of the Adjudication, Related Legal Rule(s), Basic Facts of the Case, Results of the Adjudication, and Reasons for the Adjudication.
    After President Xin Jingping’s state visit to the United States in 2015, this project has received more and more attention from Chinese and American legal professionals, and has gradually become one of the main topics discussed among Chinese and American professionals.   • Broad & Bright represented Chervon Group and provided full-spectrum legal service for its acquisition of the global brands and business of SKIL, an affiliated company of Bosch. The closing of this transaction in North America and China occurred at the end of 2016. The closing of this transaction in Europe and other areas occurred on March 31 this year. This acquisition was led and managed by Mr. Hongchuan LIU, with support from Ms. Ren JIANG, Ms. Lei SHI, and etc.
  • On December 14, 2016, SCHMOLZ + BICKENBACH Group (“S+B Group”) officially signed the contracts with Tsingshan Iron and Steel Group (“Tsingshan Group”) and announced their cooperation to establish a joint venture in Shanghai, China. This will be the first joint venture in China between S+B Group ad Tsingshan Group, which aims to combine S+B Group’s advanced technical know-how with Tsingshan’s strong market position in China, and thus to create a world-class supplier of special bright bars. The Broad & Bright team led by Mr. David Wang, Mr. Hao Jiang and Mr. Roland Sun represented S+B Group and provided full spectrum legal service in this transaction.
  • Mr. Libin Zhang, partner of Broad & Bright led his team, working together with Paul, Weiss, Rifkind, Wharton & Garrison LLP represented Hewlett-Packard Group, acting as its PRC legal counsel and global counsel respectively, provided legal service for Hewlett-Packard Group’s acquisition of the global printing business sector of Samsung Electronics.   • Broad & Bright advised Fenbushi Capital (as a co-investor) on the closing in June 2016 of the US$ 72 million Series D financing of Circle, a global leading blockchain-based payment solution provider.  Being the largest venture round in the blockchain industry worldwide since the beginning of 2016, the financing was led by IDG and followed by such known institutional investors as Breyer Capital, Baidu, CICC Alpha, Everbright.  Our Partner Roland Sun is the lead partner of this project.

  • On May 25, 2016, Mr. Taotao Zhu, partner based in the Guangzhou Office of Broad & Bright, attended the special lecture co-hosted by Japan External Trade Organization(JETRO)and Foshan Cherry Association. Mr. Zhu made a key note speech to around 10 representatives from the Japan-invested enterprises on the topic of the layoff issues among Chinese companies. The key note speech on the same day also includes the speech featuring visa issues made by the consul from Consulate of Japan in Guangzhou.
  • Broad & Bright advised Wanxiang Blockchain Labs on its founding "ChinaLedger" together with over ten other entities.  With the establishment announced on April 19, 2016, ChinaLedger is the first-ever consortium in China focusing on distributed ledgers underlying protocol and blockchain technology research and development.  Members of ChinaLedger include financial institutions, equity and asset exchanges and fintech companies across the country while Wanxiang Blockchain Labs serves as the secretariat of the consortium.  Our Partner Mr. Roland Sun is the lead partner of this project. 
  • Broad & Bright and Toranomon Chuo Law Firm advised a famous Chinese travel company on its establishment of a Tokyo branch. Our partner Ms. Haiping Sun led the case with support from the Japanese lawyers from the international business department of Toranomon Chuo Law Firm.
  • Broad & Bright represented a well-know Japanese manufacturer in a lawsuit regarding disputes on bill of exchange in China, with all claims upheld by the court. Our partner Ms. Haiping Sun led the case with supported from Mr. Xiaote Jin and others.
  • Broad & Bright represented a well-know Japanese company on its acquisition of a Chinese consumer goods distribution company by means of asset transfer. Our partner Ms. Haiping Sun led the case with supported from Mr. Xiaote Jin and others.
  • Broad & Bright represented a well-know Japanese company on investment to a major veterinary-drug manufacturer in Shandong, China by means of capital increase and equity transfer. Our partners Mr. Jun Ji and Mr. Weiwei Weng led the team headed by Ms. Haiping Sun with support from Ms. Lihua Yin, Ms. Yali Lu and Mr. Xiaote Jin.
  • Broad & Bright advised a foreign invested manufacturing company on its labor disputes case. The employee claimed against the company for illegal termination of labor contract. However, the case was settled at the final arbitration stage with an amount far less than the claimant's claimed amount. This case was managed by our partner Mr. Yifan Chen, and was represented by Ms. Hua Ji and Ms. Yiming Huang.
  • Broad & Bright advised a Japanese-invested enterprise on the termination of labor relationship with one of its senior management personnel, who has been on a waiting post with full payroll for almost two years. Broad & Bright team advised on the whole process of plan making, several rounds of negotiation and making notification, and managed to assist the company to terminate the its labor contract with such senior management personnel within the statutory severance amount. Mr. Yifan Chen led the Broad & Bright team with the support from Ms. Hua Ji, who participated in the entire implementation and negotiation process.
  • Broad & Bright advised a Japanese company on its overall employee settlement resulted from its asset transfer, and provided legal services thereon.  Mr. Yifan Chen led the team supported by Ms. Hua Ji and Mr. Kaiyuan Xu. The total number of the settled employees reached 400 people.  Upon the company's official announcement on the cancellation of the assembly line department, a total of 28 employees refused the company's proposed termination plan by negotiation.  Upon the company's unilateral termination of their labor contracts, labor arbitration and litigation arose. Ms. Hua Ji and Mr. Kaiyuan Xu represented the company and won the labor arbitration.  Currently, this case was closed in the trial of first instance, with all employees accepting the mediation plan insisted by the company.
  • Broad & Bright advised a Japan's leading manufacturers in its recombine, involving Company’s set up and logout, transfer of more than 200 employees and so on. Ms. Haiping Sun led the team with the support from Ms. Hua Ji, Mr. Kaiyuan Xu and other associates.
  • Keith Yuan, partner of Broad & Bright, led the team to represent Chengdu Detong Yinke Venture (DT Capital Group) in its Pre-IPO Series investment in a Chinese high-tech agricultural products developing and processing enterprise. Broad & Bright advised DT Capital in its transaction documents and related PRC legal issues. Mr. Keith Yuan led Broad & Bright team with support from Ms. Shirley Lu.
  • Keith Yuan, partner of Broad & Bright, led the team to represent Chengdu Detong Yinkejincheng Venture (DT Capital Group) in its Series-A investment in a TMT enterprise.   • Keith Yuan, partner of Broad & Bright, led the team to represent Vitop Bioenergy Holdings Limited in advising its affiliated subsidiary in acquiring several commercial properties in Guangzhou.  Keith Yuan led Broad & Bright team with support from Shirley Lu and Yuanyuan Zhu. Vitop Bioenergy Holdings Limited is a listing company on HKEx with Stock Code No. 1178, combining production and marketing business of healthcare products, multi-functional water generators as well as business of real estate investment.
  • Keith Yuan, partner of Broad & Bright, led the team to represent V1 Group Limited in advising its subsidiary V1 Group Information Engineering Co., Ltd. in contemplating and refining its contractual arrangements so to consolidate the account statement and interests of Beijing V1PIN E-Commerce Co., Ltd. Broad & Bright provided legal support for the project. Mr. Keith Yuan led Broad & Bright team with support from Ms. Shirley Lu and Ms. Yuanyuan Zhu.   • Broad & Bright advised a Japanese company for its settlement of more than 200 employees as a result of its failure to continue operation due to outstanding company debts. Mr. Hui Dong led the team with the support from Mr. Kaiyuan Xu and other associates.
  • Philips Ding, partner of Broad & Bright, led the team to advise Bertelsmann Asia Investments on its angel round investment in two start-up technology companies. Broad & Bright team performed legal due diligence over the target companies, draft transaction documents for the client.
