Kai (Keith) Yuan

Education and Working Experience:
Mr. Yuan received his L.L.B. degree from Fudan University Law School in 2002; his L.L.M. degree from Transnational Law and Business University Law School, Seoul Korea in 2004.

Mr. Yuan is a partner and key member of Broad & Bright’s southern China practice. Prior to joining Broad & Bright, Keith worked for Goodwin Procter in its Hong Kong office, DLA Piper in its Hong Kong and Shanghai office and Shanghai Llinks Law Firm.
Practice Areas:
Mr. Yuan has worked regularly on private equity, venture capital, corporate finance, capital market, cross-border M&A, foreign direct investment, real estate development and acquisition and private equity fund formation. He was also involved in various P.R.C.-originated offshore private equity and capital market transactions, including PEVC, IPO (initial public offer), PIPEs (private investment in public enterprises), RTO (reverse takeover offering) and SPACs (special purpose acquisition company). Mr. Yuan has extensive experiences in advising on restructuring, due diligence, compliance and disclosure matters and prospectus drafting.
Work for Clients:
In recent years Mr. Yuan has been involved in various high profile private equity investment projects including DST Global Investment’s Series C investment in JD.com (also known as 360buy.com), DST Global Investment’s Series C and Series E follow-on investments in Alibaba Group, Apoletto China I Fund’s Series D investment in Xiaomi Corporation, Apoletto China I Fund’s Series A investment in Kingsoft Cloud Corporation, DT Capital’s pre-IPO investment in a Chinese high-tech agricultural company and Series A investment in a TMT company. Keith has also been involved in many corporate finance projects including China Railway (A+H IPO), Mingfa Property (HK IPO), China Hydroelectric Corporation (NASDAQ IPO), China Water and Drinks (SPAC), Wuhan Kingold (RTO), Shenzhen Grandness Group (Singapore IPO), and cross-border M&A projects including, Chongqing Iron and Steel Company's acquisition of an iron mine in Australia, more than 20 real property acquisition projects by Tesco’s real estate investment arm in China, Vitop BIOenergy Holding Limited (HKG: 1178)’s acquisition of a real estate development project in Guangzhou, China and V1 Group Limited (HKG: 0082)’s acquisition of a Chinese domestic e-commerce company. His focused industry includes Internet technology and e-commerce, retail and consumer goods, real estate, natural resources and renewable energy.
Bar and Court Admissions:
Mr. Yuan passed the National Judicial Exam in People’s Republic of China in 2004 and is admitted to practice P.R.C. law. Mr. Yuan is also holding specialist practice certificates issued by Hong Kong Securities Institute (corporate finance and assets management).
Mr. Yuan is fluent in written and spoken Mandarin and English. He also speaks Cantonese and Shanghai dialect.
